Terms of Engagement
Welcome to our coaching and consulting services. These Terms of Engagement ("Terms") govern your use of our services and constitute a legally binding agreement between you ("Client," "you," or "your") and our company ("Consultant," "we," "us," or "our"). By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Services Description
We provide professional coaching, consulting, and advisory services as outlined in your specific service agreement or proposal. Services may include but are not limited to: one-on-one coaching sessions (virtual or in-person); group coaching programs and workshops; business strategy consulting; online courses, digital products, and educational materials; email support and accountability check-ins; and custom resources, templates, and toolkits. All services are subject to availability and scheduling constraints. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.
2. Client Commitments
As a Client, you agree to: attend scheduled sessions on time and come prepared with relevant materials; complete assigned action items and homework between sessions; communicate openly and honestly about challenges and progress; take full responsibility for your decisions, actions, and results; respect our intellectual property and confidentiality agreements; and provide accurate and complete information to enable effective coaching.
3. Payment Terms
3.1 Fees. All fees are quoted in the currency specified in your invoice or proposal. Payment is due in full before services commence unless otherwise agreed in writing.
3.2 Payment Methods. We accept payment via credit card, bank transfer, Stripe, PayPal, or other methods as specified at checkout.
3.3 Late Payments. Late payments may incur a fee of 5% per month on the outstanding balance. We reserve the right to suspend services until payment is received.
3.4 No Refunds. All payments are final and non-refundable except as required by law or at our sole discretion.
4. Scheduling & Cancellation
4.1 Booking. Sessions are booked through our scheduling system. You will receive a confirmation email with session details.
4.2 Rescheduling. You may reschedule a session with at least 24 hours' notice via our booking platform. Sessions rescheduled with less than 24 hours' notice may be forfeited.
4.3 No-Shows. If you fail to attend a scheduled session without prior notice, the session will be counted as delivered and no make-up session will be provided.
4.4 Consultant Cancellation. In the rare event we need to cancel, we will provide at least 24 hours' notice and offer a rescheduled session at no additional cost.
5. Confidentiality
We respect your privacy. All information shared during coaching sessions is strictly confidential and will not be disclosed to third parties without your consent, except where required by law (e.g., court order, imminent risk of harm).
Similarly, you agree not to share proprietary materials, frameworks, or methodologies provided by us with unauthorized third parties.
6. Intellectual Property
All materials, resources, templates, and content provided during our services remain our intellectual property. You are granted a limited, non-exclusive, non-transferable license to use these materials for your personal or internal business use only.
You may not reproduce, distribute, sell, or create derivative works from our materials without express written permission.
7. Disclaimer & Limitation of Liability
7.1 Not Professional Advice. Coaching and consulting services are for educational and guidance purposes only. They do not constitute legal, financial, medical, or psychological advice. You should consult with qualified professionals for specialized advice.
7.2 No Guarantees. We do not guarantee specific results, outcomes, or income levels. Your success depends on numerous factors including your effort, market conditions, and implementation.
7.3 Liability Cap. To the maximum extent permitted by law, our total liability to you for any claim arising from these services shall not exceed the total amount paid by you for the specific service giving rise to the claim.
7.4 Indirect Damages. We are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
8. Code of Conduct
We maintain a respectful, inclusive, and safe environment for all clients. We reserve the right to terminate services immediately without refund if you engage in: harassment, discrimination, or abusive behavior; illegal activities or fraud; sharing confidential session content publicly without consent; or reverse-engineering or distributing our proprietary materials.
9. Termination
Either party may terminate the coaching relationship with written notice. Upon termination: all outstanding fees become immediately due; access to digital resources and community platforms may be revoked; and confidentiality obligations survive termination.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of (your country), without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration in Singapore.
11. Changes to Terms
We may update these Terms from time to time. The most current version will always be posted on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
